Are you Tracksuit’s new Legal Counsel?
This role is exciting because you'll be joining as our first legal hire to lead and own the function, within one of the fastest-growing startups in Australia and New Zealand. You’re not siloed into one specialty (e.g. privacy/data), this is a true generalist legal role with exposure across the entire business. Come build the foundations of the legal function from the ground up.
The Important Bits:
This permanent role will report to Dan Danilov, Head of Strategy & Operations, sitting within our Operations function. You’ll join us as an individual contributor.
As our Legal Counsel, you will be responsible for:
- Contract management: Draft, review, and negotiate a variety of commercial agreements including sales/customer contracts, strategic partnership agreements and vendor contracts
- ESOP: Develop and manage Employee Stock Ownership Plans
- Corporate structure: managing all of our entities and set up new entities to support our international expansion
- Fundraising: own the legal aspects of all fundraising activities
- M&A: Support due diligence, legal negotiations and integration efforts for mergers, acquisitions, and other strategic transactions
- Employment matters: oversee and manage employment-related legal issues, including drafting employment contracts, handling employee disputes, and ensuring compliance with labour laws and regulations
- IP & Trademarks: manage and protect Tracksuit's intellectual property, including trademarks and copyrights
That's the role, so who are you?
- You will have legal qualifications with a minimum of 5 years experience.
- Strong commercial awareness and understanding of current market technology conditions.
- Strong understanding of contract law, intellectual property law, data privacy regulations, corporate governance, and employment law
- Experience as in-house counsel is a bonus, but not strictly required. Prior fundraising and M&A experience is not required
- Demonstrable knowledge around software agreements and and the laws/regulations that affect software companies
- A kind, smart and genuine human with a growth mindset.
- You thrive in fast-paced environments and, as an early team member, are excited at the prospect of having a tangible impact on Tracksuit’s culture.
- You understand why good branding is critical to a business’ success (and why it’s important to track, i.e. why Tracksuit exists!)
